Job Title: Associate Director Experience: 12 + years Location: Greater Noida We at Coforge are hiring Company Secretary with the following skillset: We are looking for an experienced Company Secretary professional under the Group Company Secretary and Compliance Head with 1315 years of expertise in corporate governance, regulatory compliance, and stakeholder management across India and international jurisdictions. The ideal candidate should possess strong knowledge of SEBI regulationsincluding Prohibition of Insider TradingFEMA, ESOP administration, Companies Act, and M&A; activities. This role requires robust followup skills, the ability to drive tasks to closure within defined timelines, and the capability to develop robust SOPs and compliance frameworks. Key Responsibilities - Ensure end-to-end compliance with statutory and regulatory requirements across India and overseas jurisdictions. - Manage SEBI regulations including Prohibition of Insider Trading (PIT), continual disclosures, and related compliances. - Oversee FEMA compliances, cross-border transactions, and reporting obligations. - Manage end-to-end ESOP compliances, documentation, and disclosure requirements. - Ensure adherence to the Companies Act, including board meetings, filings, registers, minutes, and statutory records. - Support Mergers & Acquisitions activities, including due diligence, documentation, and posttransaction compliance. - Develop, review, and implement Standard Operating Procedures (SOPs) to strengthen regulatory governance. - Handle investor communication and prepare summary reports on compliance checks. - Work closely with the Compliance Head to provide periodic updates across jurisdictions. - Ensure timely follow-ups and drive all compliance activities to closure within stipulated timelines. - Maintain compliance trackers and monitor regulatory obligations across functions. - Collaborate effectively with internal teams and demonstrate strong team spirit. - Shareholders correspondence .
