Compliance and Governance Manager, Portfolio Management & AIF

Role Overview We are looking for a seasoned Compliance & Governance professional to manage end-to-end regulatory compliance for our Portfolio Management Services (PMS) and Alternative Investment Funds (AIF) businesses. The role will be responsible for ensuring adherence to SEBI regulations, strengthening governance frameworks, and acting as a key point of contact with regulators, auditors, trustees, and internal stakeholders. This is a hands-on role requiring strong regulatory understanding, practical implementation skills, and the ability to independently manage compliance operations across products. Key Responsibilities Regulatory & Compliance - Ensure ongoing compliance with SEBI (AIF) Regulations, SEBI (PMS) Regulations, and relevant circulars, guidelines, and amendments. Act as the designated Compliance Officer for PMS and/or AIF entities (as applicable).Advise business teams on compliance and regulatory implications of new products, marketing, and distribution strategiesMonitor regulatory updates and proactively assess impact on business operations.Interpret regulations and translate them into internal policies, SOPs, and controls.Filings, Reporting & DocumentationOversee and manage all regulatory filings including:SEBI periodic submissions (quarterly/half-yearly/annual)Investor reportingTrustee and sponsor reporting (for AIF)Audits, certifications, and disclosuresEnsure timely and accurate submissions on SEBI portals (SI Portal, Intermediary Portal, etc.).Maintain statutory records, compliance trackers, registers, and audit trails. Governance & Risk - Develop and strengthen governance frameworks, compliance manuals, and internal policies across investment, operations, sales and distribution functions.Conduct periodic compliance testing and risk assessments.Support internal audits, regulatory inspections, and external audits.Address audit observations and drive closure of gaps. Stakeholder Management - Act as the key interface with: SEBITrustees & custodiansLegal advisors and auditorsFund administratorsWork closely with Investment, Operations, Finance, Legal, and Client teams to ensure compliance is embedded in business processes.Process & ControlsDesign and implement compliance workflows across onboarding, KYC/AML, investment approvals, conflicts of interest, insider trading, and disclosures.Ensure robust systems for client onboarding, documentation, and grievance redressal.Drive automation and process efficiency in compliance reporting and tracking. Desired Profile - Education & Certifications CA / CS / LLB / MBA / equivalent professional qualification.Additional certifications in compliance, risk, or governance will be an advantage.Experience712 years of experience in Compliance / Governance / Risk within:PMS /AIF/Wealth / Asset Management / Investment Management firms.Strong hands-on experience with SEBI PMS & AIF regulations is mandatory.Experience handling regulatory audits and direct interaction with SEBI preferred.Skills & CompetenciesDeep regulatory knowledge and practical application ability.Strong documentation and drafting skills (policies, SOPs, compliance notes).Excellent stakeholder management and communication skills.High attention to detail with strong ownership mindset.Ability to work independently and take accountability for end-to-end compliance. .
