主要職責 實體領導及損益管理 • 出任子公司董事會執行董事,對實體承擔受信及管理問責 • 全面負責子公司的業務計劃、預算、人員編制及整體損益;定期向集團董事會匯報業績、業務進展及風險狀況 • 領導、培養及擴充團隊,就各職能明確授權、目標及問責機制 • 統籌場外衍生品的產品路線圖,制定目標客戶群及收入模式 • 聯同集團資金部及風控部門,建立及完善涵蓋融資利差、保證金水平、對沖成本及費用結構的定價框架 監管、治理及合規 • 擔任子公司的主要問責人員,在適用監管框架下承擔相當於持牌人士的職責;作為與相關監管機構溝通的主要聯絡人 • 健全子公司的合規體系:組織制定政策及程序、建設合規職能,並將合適性、操守及場外衍生品匯報義務落實到日常營運中• 維持穩健的公司治理:董事會匯報、新產品審批、授權體系及內部監控 • 與集團獨立風控部門就交易對手限額、集中度限額、保證金政策及壓力測試進行協作——並尊重風險監督獨立於業務條線的原則 商務拓展及客戶覆蓋 • 統籌子公司的商務拓展工作:確立市場定位、發掘新業務機會並將其轉化為收入 • 親自開拓及覆蓋子公司目標客群,聚焦投資及融資解決方案,就各產品線持續擴大業務渠道 • 建立及維護戰略合作夥伴及分銷渠道 • 推動與集團關聯公司及外部機構的業務合作,創造交叉銷售及產品分銷的協同效應 交易及交易對手管理 • 主導與客戶及對沖交易對手洽談交易協議及相關文件 • 建立並管理與國際交易商及/或關聯實體的背對背(back-to-back)對沖關係;監督執行質素及對沖有效性 • 聯同營運部門監督交易全生命周期流程:交易確認、保證金管理、公司行動、結算及匯報等 團隊發展 • 配合業務增長,招聘前中後台的關鍵人才 職位要求 • 八年以上股票衍生品(equity derivatives)、機構主經紀(prime services)、跨境收益互換相關經驗,曾任職於國際投資銀行或領先證券公司,並具備相當的管理經驗 • 具備開拓及發展機構級業務的往績,擁有與子公司產品線相匹配、可帶動的客戶網絡及市場資源 • 具備已獲驗證的商務拓展能力:曾成功建立合作夥伴關係、分銷渠道或新收入來源 • 熟悉場外衍生產品的經濟結構:定價、融資、保證金及對沖機制的實操知識 • 具備洽談交易文件及管理交易對手關係的經 • 願意並適合出任子公司執行董事,以及在適用監管框架下承擔問責人員職責;監管及專業紀錄良好 • 紮實掌握香港及主要區域內場外衍生品的監管環境 • 具備已獲驗證的跨職能團隊領導能力 • 流利普通話及英語(書面及口語);懂粵語者具優勢 • 持有金融、經濟、數學或相關學科學士或以上學位;具 CFA/FRM 資格者可獲加分 Key Responsibilities Entity leadership & P&L ownership • Serve as Executive Director on the subsidiary's board, bearing fiduciary and management accountability for the entity • Own the subsidiary's business plan, budget, headcount and full P&L; report regularly to the group board on performance, pipeline and risk posture • Lead, develop and expand the team, setting clear mandates, targets and accountability across functions • Drive the OTC derivatives product roadmap, and define target client segments and the revenue model • Establish and refine pricing frameworks covering funding sprads, margin levels, hedging costs and fees structure, in coordination with group Treasury and Risk Regulatory, governance & compliance • Act as the subsidiary's principal accountable officer, assuming responsibilities equivalent to those of a licensed person under the applicable regulatory framework; serve as the primary point of contact with relevant regulators • Strengthen the subsidiary's compliance framework: organise the development of policies and procedures, build out the compliance function, and embed suitability, conduct and OTC derivatives reporting obligations into daily operations • Uphold sound corporate governance: board reporting, new product approval, delegated authorities and internal controls • Work with the group's independent Risk function on counterparty limits, concentration limits, margin policy and stress testing — respecting the independence of risk oversight from the business line Business development & client coverage • Own the subsidiary's business development agenda: define market positioning, identify new business opportunities and convert them into revenue • Personally originate and cover the subsidiary's target client segments, focusing on investment and financing solutions, and continuously expand business channels across the product suite • Build and maintain strategic partnerships and distribution channels • Develop cooperation with group affiliates and external institutions to create cross-selling and product-distribution synergies Trading & counterparty management • Lead negotiation of trading agreements and related documentation with clients and hedging counterparties • Establish and manage back-to-back hedging relationships with international dealers and/or affiliated entities; oversee execution quality and hedge effectiveness • Oversee the trade lifecycle workflow with Operations, including trade confirmation, margining, corporate actions, settlement and reporting Team development • Recruit key talent across front, middle and back office in line with business growth Requirements • 8+ years of experience in equity derivatives, prime services, or cross-border swaps at an international investment bank or leading securities firm, including meaningful leadership experience • Demonstrated ability to originate and grow institutional-grade business, with a portable client network and market resources relevant to the subsidiary's product suite • Proven business development capability: a track record of building partnerships, distribution channels or new revenue lines • Hands-on knowledge of the economics of OTC derivatives: pricing, funding, margining and hedging mechanics • Experience negotiating trading documentation and managing counterparty relationships • Willingness and suitability to serve as Executive Director of the subsidiary and to assume accountable-person responsibilities under the applicable regulatory framework; a clean regulatory and professional record • Solid command of the regulatory landscape for OTC derivatives in Hong Kong and key regional markets • Proven cross-functional team leadership • Fluent Mandarin and English (written and spoken); Cantonese an advantage • Bachelor's degree or above in finance, economics, mathematics or a related field; CFA/FRM a plus Personal data collected will be used for recruitment purpose only.
