Legal Director

Position Summary Dhipaya Insurance is seeking an experienced Legal Director to lead the Company's legal function and provide strategic legal support for key initiatives across the Dhipaya Group. This role is responsible for overseeing legal, regulatory, governance, and risk management matters, while also supporting strategic business initiatives, including investments, joint ventures, partnerships, and M&A transactions. The successful candidate will serve as a trusted advisor to senior management and work closely with stakeholders across the Group to ensure alignment between legal strategy and business objectives. Key Responsibilities Legal Leadership & Strategic Advisory Lead and manage the legal function of Dhipaya Insurance. Provide legal advice and recommendations to the Board of Directors, Executive Management, and key stakeholders. Develop legal strategies that support business growth and long-term corporate objectives. Identify, assess, and mitigate legal risks across business operations and strategic initiatives. Corporate Governance & Regulatory Compliance Ensure compliance with applicable laws, regulations, and corporate governance requirements. Monitor legal and regulatory developments affecting the insurance industry. Act as a key advisor on governance matters and regulatory obligations. Coordinate with regulators, external counsel, and relevant authorities as required. Insurance Legal Affairs Oversee legal matters related to insurance operations and business activities. Advise internal stakeholders on insurance regulations, compliance requirements, and legal implications of business decisions. Support regulatory submissions, inquiries, investigations, and dispute management. Corporate Transactions & Strategic Projects Provide legal support for strategic projects across Dhipaya Group. Lead or support legal due diligence processes for investments, acquisitions, and business partnerships. Draft, review, and negotiate transaction documents including: Share Purchase Agreements (SPA) Shareholders' Agreements (SHA) Joint Venture Agreements Investment Agreements Commercial Contracts Advise on corporate restructuring, strategic partnerships, and investment-related matters. Contract & Risk Management Review, draft, and negotiate significant commercial agreements. Establish legal best practices and contract governance frameworks. Ensure legal documentation adequately protects the Company's interests and manages risk exposure. Dispute Resolution Manage litigation, arbitration, and regulatory disputes. Coordinate and oversee external legal counsel. Develop dispute resolution strategies aligned with business objectives. Team Leadership Lead, mentor, and develop the Legal team. Foster a collaborative and high-performing legal function that acts as a strategic business partner. Qualifications Education Bachelor's Degree in Law (LL.B.) is required. Master's Degree in Law (LL.M.), MBA, or related field is an advantage. Experience Minimum 12 years of legal experience. At least 5 years in a senior legal leadership role. Strong experience within the insurance, financial services, or other highly regulated industries. Proven expertise in legal and regulatory compliance, corporate governance, contract management, and dispute resolution. Experience supporting M&A transactions, joint ventures, strategic investments, or corporate restructuring projects is highly preferred. Experience advising senior executives and Boards of Directors. Knowledge & Skills Strong knowledge of insurance laws and regulations. Solid understanding of corporate law, investment transactions, and commercial agreements. Excellent negotiation and stakeholder management skills. Strong business acumen with the ability to balance legal and commercial objectives. Excellent communication and leadership capabilities. Ability to work effectively in a complex and dynamic business environment.
