Responsible for the commercial structuring, financial analysis, and negotiation for relevant deals, joint ventures (JVs), and strategic partnerships. Responsible for designing innovative business models and commercial schemes that meet partner’s requirements, optimize project returns, and effectively mitigate commercial risks. DUTIES AND RESPONSIBILITIES 1. Business Development Local Intelligent and networking (i.e. Business Partners, Industrial Customers, Lenders, Consultants, International and Local contractors, Thai Government Agencies) including study and understand General Rule and Regulation (such as an investment laws, labor laws, foreign investment laws), regulations and restrictions of foreign investors. 2. Commercial & JV Structuring Business Schemes: provide commercial structures (e.g., tariff structures, revenue sharing) to win bids and solve client needs. JV & Entity Structuring: Formulate joint venture structures (SPVs, shareholding ratios, control rights, dividend policies) aligned with tax, legal, and funding requirements. Risk Allocation: Structure "back-to-back" risk passthrough mechanisms to partners, contractors, or clients to mitigate company’s risk. 3. Financial Feasibility & Bankability Financial Modeling & Valuation: Work closely with finance teams to run the model and test deal scenarios, validate assumptions, and maximize financial returns (IRR, NPV, Payback). Bankability Assessment: Ensure proposed commercial terms and contract structures meet lender criteria for project financing. 4. Commercial Negotiation & Deal Closing Support on commercial negotiations for core transaction documents, including Term Sheets, MOUs, Share Purchase Agreements (SPA), and Shareholders Agreements (SHA). Key Commercial Contracts: support on negotiations on utility/offtake agreements (e.g., PPA, Infrastructure Agreements, GSA/LTSA), securing favorable commercial terms. Legal Alignment: Work closely with legal team and translate commercial agreements into enforceable legal terms alongside tax, and technical teams. JOB SPECIFICATION Bachelor’s Degree in Business, Finance or economic or Business Administration (BBA) At least 5 - 8 years experience in Business Development, Deal Structuring, Corporate Finance, or M&A (background in Energy, Infrastructure, or Data Centers is a strong plus) Deep understanding of Financial Models (IRR, NPV, Cash Flow, DSCR) and how commercial risks impact financial returns Experienced in commercial negotiations for key legal agreements (Term Sheets, SHAs, SPAs, PPA agreements) Experienced in designing shareholding structures, voting rights, profit-sharing models, and exit/anti-dilution strategies
