Key Responsibilities 1. Fund Portfolio Ownership & Client Relationship • Act as the named, direct point of contact for a dedicated portfolio of funds across all corporate matters, the client's first call for anything corporate fund-related. • Build and maintain trusted relationships with fund promoters, investors and their advisers throughout the fund lifecycle. • Take ownership of the day-to-day corporate management of assigned funds, anticipating client needs and proactively managing open items. 2. Fund Set-Up & Structuring • Lead the fund set-up and structuring process end to end, translating commercial mandates into workable fund structures across Real Estate, Private Equity, Loan Funds, Infrastructure and Fund of Funds strategies. • Develop tailor-made fund term sheets in close dialogue with promoters and investors, reflecting commercial intent and structuring feasibility. • Prepare structure charts, implementation timelines and responsibility matrices for each fund launch. • Act as first point of contact during the fund launch project, coordinating all workstreams through to closing. 3. Corporate Governance & Board Administration • Own and manage the full lifecycle of board and shareholder meetings across AIFM entities, fund vehicles, and SPVs: convening, agenda setting, preparation of board packs, minute-taking, and follow-up on action items. • Draft, review, and maintain written resolutions, proxies, and corporate authorisations in line with Luxembourg company law (Loi du 10 août 1915). • Maintain statutory corporate registers (shareholders, directors, UBOs) and ensure their accuracy and completeness at all times. • Oversee the organisation of portfolio and valuation committee meetings as required, coordinating inputs from internal functions. • Manage all RCS (Registre de Commerce et des Sociétés) and RBE (Registre des Bénéficiaires Effectifs) filings, ensuring accuracy and timeliness across the full entity portfolio. 4. Coordination with Legal Advisory • Manage and chair calls with internal General Counsel and external legal advisers on fund structuring and documentation matters, driving the agenda and tracking open points to resolution. • Coordinate the legal advisory input into term sheets, PPMs, subscription documents and side letters, owning the process and timeline while legal risk sign-off remains with General Counsel. • Escalate matters of material legal, regulatory or commercial impact promptly and with clear framing, in line with the firm's accountability framework. 5. Stakeholder Coordination & Service Provider Management • Serve as primary corporate and legal liaison with external service providers, notaries, lawyers, auditors, and regulatory authorities. • Coordinate with clients on new fund set-up projects, including term sheet review, service provider coordination, and documentation delivery. • Interface regularly with internal functions including compliance, risk, and finance to ensure alignment on governance and regulatory matters. Required Profile Education: Master's degree (LL.M. or equivalent) in Law, Business Law, or a related field with strong legal and corporate focus. Specialisation in Luxembourg or European corporate/fund law is a distinct advantage. Experience: Minimum 5 years of professional experience in a corporate governance, legal, or fund administration role within a Luxembourg-regulated AIFM or investment fund environment. Demonstrated experience with Luxembourg fund structures (SICAV, SCSp, S.A., S.à r.l.) and a strong understanding of AIFMD, CSSF regulatory requirements (including CSSF Circular 18/698), and Luxembourg company law. Proven track record of independently owning and managing corporate governance processes, legal documentation, and statutory compliance obligations in a regulated environment. Prior exposure to cross-border fund structuring, client-facing fund management, external counsel coordination, or CSSF engagement is a strong asset. Languages: Fluent English and German are required (written and spoken, to a professional / legal standard). Additional languages are welcome. Organisation: Excellent organisational skills with the ability to manage multiple concurrent workstreams under deadline pressure in a lean team environment. Judgment & Discretion: High degree of discretion, professional judgment, and accuracy; comfortable managing sensitive and confidential information. Mindset: Proactive, solution-oriented mindset with the ability to anticipate governance and legal risks and act preventively. Stakeholder Management: Strong stakeholder management skills; comfortable interacting with board members, fund promoters, investors, external counsel, service providers, and regulators.
