The comapany is recruiting a Co-Head of Legal & Compliance to lead the legal and compliance function across all of its businesses, jointly with the existing Co-Head. The role reports to the Chief Executive Officer. RESPONSIBILITES Leadership of the function Co-leading the legal and compliance function across the Group, jointly with the existing Co- Head Advising the executive on legal and regulatory risk across the firm's businesses Regulatory and compliance Regulatory reporting, including to the FSCA and FICA Monitoring the relevant legal frameworks and developments, and ensuring compliance of the company and its sub-entities ??????? Corporate Corporate secretarial work in South Africa Incorporation of new legal entities Managing the process of KYC on Verdant Capital by external parties Managing the firm's insurance Transactions and fund support Working with the investment banking and investment management teams in reviewing NDAs, , reviewing term sheets and ancillary documents Assisting with the negotiation of engagement letters Assisting with the collection and review of KYC documents Reviewing investment agreements and ancillary documents, including legal opinions, relating to Verdant Capital's flagship fund (Verdant Capital Hybrid Fund), and overseeing the process for satisfaction of CPs Supporting external lawyers with the drafting of investment agreements for Verdant Capital Hybrid Fund Contracts and internal resources Maintaining internal resources, including internal templates for legal contracts, and maintaining records of contracts executed by the firm Miscellaneous legal work, for example reviewing employment contracts and employee stock grants Reviewing and integrating new technology tools Operational Employment contracts CCMA matters DHA Supplier contacts Working with external counsel on trade mark matters Disputes and external counsel Managing any claims, litigation or arbitration Managing relationships with external law firms QUALIFICATIONS & EXPERIENCE An LLB degree and admission as an attorney Strong academic abilities At least five years' post-qualification experience Ideally experience includes working in house in financial services, funds or investment banking for part of the career Ideally prior professional exposure to work in multiple jurisdictions Experience of anti-money laundering and regulatory compliance obligations in more than one jurisdiction Desired Skills: Admitted Attorney Financial Services Funds Investment Desired Work Experience: 5 to 10 years Desired Qualification Level: Degree
